Terms and Conditions

§ 1 Scope

  1. These Terms and Conditions apply to all contracts for the use of ehmAIl between CSTN Labs, proprietor Constantin Hartmann (“we”, “us”), and our customers (“you”).
  2. They apply to consumers within the meaning of section 13 of the German Civil Code (BGB) and businesses within the meaning of section 14 BGB. Provisions applying only to one group are identified accordingly.
  3. Deviating terms of business customers apply only if we agree to them in writing.
  4. We enter into contracts only with customers whose billing address is in the European Union.

§ 2 Service

  1. ehmAIl is an online service that uses AI to assess and sort new emails in a connected mailbox (Microsoft 365/Outlook or IMAP). Emails either remain flagged in the inbox or are moved to the “Later” or “Unimportant” folders.
  2. Only emails received after a mailbox is connected are sorted, and only while an active subscription and sufficient credits are available (§ 5).
  3. ehmAIl does not delete or send emails and does not alter their content.
  4. The AI assessment is an estimate and may be wrong. We owe careful assessment in accordance with the state of the art, but not error-free classification. You remain responsible for checking the “Later” and “Unimportant” folders.
  5. The scope of each plan, including emails per month and number of mailboxes, is shown in the pricing information when you subscribe.
  6. We may develop the service further provided that its agreed core functionality is preserved and the change is reasonable for you. Section 327r BGB applies to consumers.

§ 3 Account and conclusion of the contract

  1. You need an account with a verified email address to use the service. Keep your password confidential.
  2. The display of plans is not a binding offer. By clicking “Subscribe with payment obligation”, you submit a binding offer, including where the subscription starts with a free trial. The contract is concluded when we confirm the subscription on the confirmation page and by email.
  3. The contract language is German. We do not separately store the contract text; you can access and save these Terms at ehmail.net/agb at any time. This English version is a convenience translation only.

§ 4 Trial and money-back guarantee

  1. New Business and Pro subscriptions start with a 14-day free trial including 1,000 emails. You provide a payment method when starting the trial. Unless you cancel before the trial ends, it automatically converts to the selected paid subscription. We email you a reminder three days before the trial ends.
  2. The Personal plan has no trial and starts as a paid subscription immediately after your express confirmation. It instead includes a money-back guarantee: within 30 days after subscribing, you can request a refund of the first monthly or annual payment in your account. The subscription then ends immediately.
  3. The guarantee is available only while exactly one subscription payment has been made. It ends when you change plans or the subscription renews. Additional credit packages are excluded. Statutory rights, including the right of withdrawal, remain unaffected.
  4. A trial or money-back guarantee is available only once per customer account. If either has already been used, a new subscription starts as a paid subscription immediately after express confirmation and without a guarantee.

§ 5 Credits

  1. Each subscription includes a monthly allowance of emails. Every assessed email uses one credit regardless of length. Failed assessments, corrections and creating rules do not consume credits.
  2. Unused monthly credits expire at the end of the billing period. Annual subscriptions also receive their allowance monthly.
  3. You may purchase additional email credits while a subscription or trial is active. Additional credits do not expire while your account exists and are used only after the monthly allowance.
  4. If no credits or no active subscription are available, sorting pauses. Emails received during the pause remain unchanged in the inbox and are not sorted later. We notify you by email when credits are running low and when they are exhausted.

§ 6 Prices and payment

  1. The prices displayed when you subscribe apply. All prices include statutory VAT. German VAT is not charged to businesses with a valid VAT ID in another EU member state under the reverse-charge procedure.
  2. The subscription is paid in advance for the selected monthly or annual billing period. Business and Pro are first charged at the end of the trial. Additional credit packages are charged immediately.
  3. Payment is processed by Stripe using card or SEPA Direct Debit. Additional credits are added once payment is confirmed.
  4. If a payment is refunded or charged back, the corresponding unused credits are deducted. We do not charge for credits already used.
  5. We notify you of price changes to an ongoing subscription at least six weeks in advance. You may cancel with effect from the date of the change.

§ 7 Term, plan changes and cancellation

  1. The subscription runs for one month or one year, depending on your selection, and automatically renews for the same period. For consumers, an annual subscription continues indefinitely after its initial term and may be cancelled with one month’s notice (section 309 no. 9 BGB).
  2. You may cancel at any time with effect from the end of the current billing period by using the “Cancel your contract” button available in the footer and your account, or by emailing support@ehmail.net.
  3. An upgrade takes effect immediately and includes a pro-rated amount of additional email credits for the remainder of the period. A downgrade takes effect at the end of the period. Existing connected mailboxes above the new limit remain active, but no additional mailbox can be connected.
  4. The right to terminate for cause remains unaffected, particularly in cases of misuse of the service or payment default.
  5. If you delete your account, the subscription ends immediately. There is no pro-rated refund for the current period and unused credits expire.

§ 8 Your obligations

  1. You may connect only mailboxes that you are authorised to use.
  2. For business mailboxes, you are responsible for ensuring that the processing of emails by ehmAIl is lawful within your organisation. The Data Processing Agreement additionally applies to business customers.
  3. You must not misuse the service, including by automatically creating accounts, repeatedly obtaining introductory offers or attacking the service’s security.

§ 9 Availability

We aim to provide the service with as few interruptions as possible but do not guarantee a particular availability level. We announce maintenance in advance where possible. During an outage, new emails remain unsorted in the inbox; your mailbox itself is unaffected. Outages at Microsoft, your email provider or AWS are outside our control.

§ 10 Liability

  1. We have unlimited liability for intent and gross negligence, injury to life, body or health, under the German Product Liability Act and within the scope of any guarantee.
  2. For a slightly negligent breach of an essential contractual obligation whose fulfilment makes proper performance possible and on which you may ordinarily rely, liability is limited to the foreseeable loss typical for the contract. Liability for other slight negligence is excluded.
  3. In particular, we are not liable for loss caused by an incorrectly classified and consequently overlooked email unless paragraph 1 applies.
  4. For business customers, liability under paragraph 2 is limited in each calendar year to the fees paid in that year.

§ 11 Privacy

Our processing of personal data is explained in the Privacy Policy. The Data Processing Agreement additionally applies to business customers and forms part of the contract when they subscribe.

§ 12 Changes to these Terms

We notify you of changes to these Terms at least six weeks before they take effect. Material changes affecting consumers take effect only with their consent.

§ 13 Final provisions

  1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only to the extent that it does not deprive them of mandatory protections under the law of their country of residence.
  2. The place of jurisdiction for merchants, legal entities under public law and special funds under public law is Achern, Germany.
  3. If any provision is ineffective, the remaining provisions remain effective.
